These terms apply to all deliveries and services of SunSniffer GmbH & Co. KG ("SunSniffer") to entrepreneurs within the meaning of §14 BGB, legal entities under public law and special funds under public law. Deviating terms of the customer apply only if confirmed by SunSniffer in writing.
Our offers are subject to change. A contract is concluded upon written order confirmation by SunSniffer or upon delivery.
Prices are net, ex works Nürnberg, plus statutory VAT, packaging and shipping. Unless agreed otherwise, invoices are due within 14 days without deduction. Subscription services (WebPortal, analytics engines) are billed in advance for the agreed period.
Delivery periods are approximate unless expressly confirmed as binding. Installation of sensors, string readers and gateways is performed by the customer or its installer in accordance with SunSniffer's installation instructions.
Delivered goods remain the property of SunSniffer until full payment of all claims from the business relationship.
Statutory warranty rights apply with the proviso that the limitation period for claims for defects is 12 months from delivery, except in cases of intent, gross negligence, or injury to life, body or health. Analytical results and forecasts of the SunSniffer platform serve as decision support; they do not replace the customer's own inspection obligations under applicable electrical-safety regulations.
The customer receives a non-exclusive, non-transferable right to use the WebPortal for the duration of the subscription. Measurement data of the customer's plant remains the customer's property; SunSniffer may use anonymised data for the improvement of its analytical models.
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Place of performance and exclusive place of jurisdiction is Nürnberg. Should individual provisions be or become invalid, the validity of the remaining provisions remains unaffected.
